New Belgian Company Code
What has changed and who is impacted?
The Belgian corporate landscape is getting revamped with the arrival of the new Belgian Company Code. As from 1 May 2019, all newly incorporated companies, associations or foundations must conform to the new regime and as from 1 January 2020 the mandatory rules will also apply to all existing companies, associations and foundations.
How does this impact me?
Most of the existing 200 year-old rules are becoming simpler and more flexible. The flipside of this is more strict rules on liability. At least 750,000 Belgian legal entities (companies, associations and foundations) will be impacted in Belgium. In terms of modifications, some of the key ones include the reduction of the number of company forms to four basic ones, the introduction of a flexible limited liability company form (BV or SRL), the limitation of liability for directors and an increased scrutiny of the financial plan at the time of incorporation of a company.
